1. Service description

RIVERRUN provides counterparty matching and RFQ quoting for bilateral OTC block transactions. We do not operate an exchange, provide custody, accept deposits, or act as a market maker.

2. Non-custodial status

Non-custodial: funds settle bilaterally between the two verified counterparties. RIVERRUN does not touch, hold, commingle, or transmit participant funds and does not hold customer funds at any stage.

3. Three-tier onboarding obligations

Individual End-User

Full KYC, identity and residential address verification, source-of-funds and tax-residency information, PEP status, sanctions screening, and lawful-funds confirmation.

Corporate Entity

Corporate-KYB, registered entity verification, Tax ID/EIN, business description, directors and control persons, full UBO ownership details for 25% or more owners, settlement authorization, and sanctions screening.

Institutional Participant

Institutional-KYB deep-level due diligence, all Corporate-KYB obligations, regulatory licenses, authorized traders, a dedicated compliance officer, and mandatory enhanced due diligence.

4. Discretionary approval and suspension

Approval is discretionary. Submission does not create an account, approved relationship, or obligation to provide liquidity or service. We may delay, condition, suspend, freeze, or terminate access for incomplete due diligence, sanctions concern, suspicious activity, legal process, or breach.

5. Funds segregation and no-FDIC statement

Non-custodial: funds settle bilaterally between the two verified counterparties. RIVERRUN does not touch, hold, commingle, or transmit participant funds and does not hold customer funds at any stage. RIVERRUN BUSINESS INC. is an MSB, NOT a bank. Neither individual, corporate, nor institutional customer funds are protected by FDIC deposit insurance; they are not FDIC insured. This statement applies equally to all three applicant categories.

6. Transaction limits, FX, and cancellation

Order parameters, supported pairs, quote windows, limits, FX treatment, and cancellation rights are established in participant documentation. A submitted RFQ does not guarantee a quote, execution, counterparty, liquidity, or settlement.

7. Counterparty privacy and disclosure

Counterparty identities remain private during the RFQ process; all participants are pre-due-diligence-verified and subject to regulatory reporting obligations. We may disclose information to counterparties only as needed for the transaction, to service providers, regulators, law enforcement, or as required by law.

8. Travel Rule and five-year retention

Required Travel Rule information is collected and shared as applicable. Applications, due-diligence materials obtained through secure follow-up, RFQ and routing records, reports, and audit logs are retained for five years or longer where law requires.

9. Representations, warranties, and no advice

Participants represent that information is accurate, funds are lawful, authority is valid, and transactions comply with applicable law. The service is not investment, legal, accounting, or tax advice.

10. Indemnification and amendments

Participants agree to indemnify RIVERRUN for losses arising from unlawful activity, inaccurate information, unauthorized instructions, or breach of these terms. We may amend these terms and will publish the current version on this page.
